1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you ("you," "Client") and Resolute Productions LLC ("we," "us," "our"), concerning your access to and use of our website as well as any related production and media services provided. You agree that by engaging our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Intellectual Property Rights

Any materials, campaign strategies, or creative assets developed by us during the provision of services shall remain our intellectual property, though the Client will have full rights to the final deliverables upon full payment of all outstanding invoices. The methodologies and processes we use are proprietary to Resolute Productions LLC.

3. Service Provision and Payment

We agree to provide production and media services as outlined in a separate Statement of Work (SOW) or service agreement. Service fees, payment terms, and project timelines will be specified in the SOW. Payments are due according to the schedule outlined. Failure to make timely payments may result in a pause or termination of services and a late fee penalty as specified in the SOW.

4. Prohibited Activities

You may not use our services for any fraudulent, illegal, or unethical activities. You are solely responsible for ensuring all materials provided to us (e.g., product images, ad copy, claims) comply with all applicable laws, regulations, and advertising standards in your jurisdiction.

5. Term and Termination

These Terms and Conditions shall remain in full force and effect while you engage our services. The specifics of the service term, renewal, and termination policy will be detailed in your SOW. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, DENY, SUSPEND, OR TERMINATE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.

6. Governing Law

These Terms shall be governed by and defined following the laws of our operating jurisdiction. Resolute Productions LLC and yourself irrevocably consent that the courts of our local jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
